1. כללי
EscapeApp היא מערכת תוכנה לניהול עסקים וחדרי בריחה, המופעלת על ידי ר.מ אינסייד אאוט בע״מ, ח.פ. 515446607, כחלק מפתרונות ESLogix. שימוש באתר, פתיחת חשבון או שימוש במערכת מהווים הסכמה לתנאים אלה ולמדיניות הפרטיות.
הצעת מחיר, טופס הזמנה, הסכם שירות, הסכם עיבוד מידע או SLA שנחתמו עם לקוח עסקי יגברו במקרה של סתירה.
2. החשבון והרשאות משתמשים
הלקוח העסקי אחראי לנכונות פרטיו, לניהול המשתמשים וההרשאות, להגנת סיסמאות ומפתחות API, ולכל פעולה המתבצעת באמצעות חשבונו. יש לדווח לנו ללא דיחוי על חשש לגישה בלתי מורשית.
3. רישיון שימוש
בכפוף לתשלום ולעמידה בתנאים, אנו מעניקים ללקוח רישיון מוגבל, לא בלעדי, בלתי ניתן להעברה להשתמש ב-EscapeApp לצרכיו העסקיים הפנימיים ובמודולים שהוזמנו. אין להעתיק, למכור, להשכיר, להעניק גישה לצד בלתי מורשה, לעקוף מגבלות, לבצע הנדסה לאחור או להשתמש במערכת לבניית שירות מתחרה, אלא אם הותר בכתב או בדין.
4. מידע של הלקוח
הלקוח שומר על זכויותיו במידע שהזין למערכת ומעניק לנו הרשאה לעבדו רק לצורך אספקת השירות, אבטחה, תמיכה, גיבוי ועמידה בדין. הלקוח אחראי לחוקיות איסוף המידע, להודעות פרטיות, להסכמות ולמתן מענה לנושאי המידע.
5. שימוש מותר ואסור
אין להשתמש במערכת כדי:
- להפר דין, זכויות פרטיות, זכויות יוצרים או זכויות צד שלישי.
- להזין תוכנה זדונית, לנסות לחדור למערכת או לשבש אותה.
- לאסוף או להעביר מידע ללא הרשאה מתאימה.
- לשלוח ספאם, התחזות, הודעות מטעות או תוכן אסור.
- לעקוב אחר עובדים, להקליט שיחות או לעבד מידע רגיש ללא בסיס חוקי, הודעה והסכמה כנדרש.
6. WhatsApp, SMS והודעות
הלקוח אחראי לקבל מראש את מספר הטלפון ואת ההסכמה הנדרשת לקבלת ההודעות, לבחור את קטגוריית ההודעה הנכונה, להשתמש בתבניות מאושרות, לזהות בבירור את העסק השולח ואת השימוש ב-ESLogix, ולכבד בקשות הסרה.
אין להציג את ESLogix כאילו היא בית העסק שמטעמו נשלחת ההודעה, או להציג בית עסק אחר ללא הרשאתו. כאשר מספר ESLogix משמש להעברת הודעות עבור לקוח, נוסח ההודעה צריך להבהיר זאת, לדוגמה: “הודעה אוטומטית מטעם [שם העסק], נשלחה באמצעות ESLogix”.
אישור תבניות, מסירה, איכות, מגבלות, חסימות ותמחור נקבעים על ידי Meta/WhatsApp או ספק התקשורת. איננו מתחייבים לאישור או למסירה של הודעה. אנו רשאים להשעות שליחה במקרה של חשד לספאם, היעדר הסכמה, התחזות, הפרת מדיניות או פגיעה באיכות החשבון.
7. אינטגרציות צד שלישי
EscapeApp עשויה להתחבר ליומני הזמנות, סליקה, חשבוניות, מרכזיות, הקלטות, WhatsApp, Meta, Twilio, דוא״ל ושירותים נוספים. זמינות ותנאי האינטגרציה תלויים גם בספק הצד השלישי. הלקוח אחראי לחשבונות, להרשאות ולעלויות שלו אצל ספקים אלה, אלא אם סוכם אחרת.
8. תשלומים ומנויים
המחירים, המודולים, תקופת החיוב ותנאי הביטול ייקבעו בהצעת המחיר או בטופס ההזמנה. המחירים אינם כוללים מע״מ וחיובי צד שלישי אלא אם צוין אחרת. אי-תשלום עשוי להביא להגבלת מודולים או להשעיית החשבון לאחר הודעה סבירה.
9. זמינות, תחזוקה ושינויים
אנו פועלים לשמירה על זמינות סבירה, אך המערכת עשויה להיות מושבתת לצורך תחזוקה, עדכונים, אבטחה או בשל תקלה אצל ספק. איננו מתחייבים לזמינות רצופה אלא אם נקבע SLA. אנו רשאים לעדכן תכונות, ממשק ואינטגרציות, תוך ניסיון להימנע מפגיעה מהותית בשירות שנרכש.
10. תמיכה וגיבוי
התמיכה תינתן בערוצים ובשעות שסוכמו. הגיבויים נועדו להמשכיות השירות ואינם תחליף למדיניות שמירה ויצוא של הלקוח. על הלקוח לייצא מידע מהותי כאשר הדבר נדרש לעסקו ובהתאם לכלי המערכת.
11. קניין רוחני
המערכת, הקוד, העיצוב, התיעוד, המותגים, התבניות והפיתוחים הכלליים שייכים לחברה או לבעלי רישיון שלה. התאמות מיוחדות אינן מעבירות בעלות בקוד או בתשתית אלא אם הוסכם אחרת בכתב.
12. סודיות
כל צד ישמור בסוד מידע עסקי, טכני ומסחרי שאינו פומבי שקיבל מהצד האחר, וישתמש בו רק לצורך ההתקשרות. חובה זו אינה חלה על מידע שהיה פומבי כדין, התקבל כדין מצד שלישי או שחובה לגלותו לפי דין.
13. השעיה וסיום
ניתן להשעות או לסיים חשבון בשל אי-תשלום, סיכון אבטחה, שימוש בלתי חוקי, הפרת מדיניות הודעות או הפרה מהותית. עם סיום השירות, הלקוח רשאי לבקש יצוא של מידע בהתאם להסכם ולכלי המערכת. מידע יימחק או יוגבל לאחר תקופת שמירה סבירה, בכפוף לגיבויים ולדין.
14. הגבלת אחריות
בכפוף לדין, לא נהיה אחראים לנזק עקיף, אובדן רווח, אובדן מידע, השבתה או תביעת צד שלישי שאינם תוצאה ישירה של הפרה שלנו. אחריותנו המצטברת לא תעלה על הסכום ששולם עבור EscapeApp ב-12 החודשים שקדמו לאירוע, למעט אם הדין אינו מאפשר הגבלה זו.
15. דין וסמכות שיפוט
על התנאים יחולו דיני מדינת ישראל, וסמכות השיפוט תהיה לבתי המשפט המוסמכים במחוז המרכז, בכפוף להוראות דין קוגנטיות.

Terms of Use and Service — EscapeApp

1. General
EscapeApp is a software platform for managing businesses and escape rooms. It is operated by R.M INSIDE OUT LTD, Company No. 515446607, as part of the ESLogix solutions. By using the website, opening an account, or using the platform, you agree to these Terms and the Privacy Policy.
A quotation, order form, service agreement, data-processing agreement, or SLA signed with a business customer will control in the event of a conflict.
2. Accounts and User Permissions
The business customer is responsible for accurate account details, user and permission management, protection of passwords and API credentials, and all activity through its account. Suspected unauthorized access must be reported to us without undue delay.
3. License
Subject to payment and compliance with these Terms, we grant the customer a limited, non-exclusive, non-transferable license to use EscapeApp for its internal business purposes and the ordered modules. The customer may not copy, sell, rent, provide unauthorized third-party access, bypass limits, reverse engineer, or use the platform to create a competing service, except where authorized in writing or permitted by law.
4. Customer Data
The customer retains its rights in information entered into the system and authorizes us to process it only to provide, secure, support, and back up the service and comply with law. The customer is responsible for lawful collection, privacy notices, consents, and responses to data subjects.
5. Acceptable Use
The platform must not be used to:
- Violate law, privacy rights, intellectual property, or third-party rights.
- Introduce malware, attempt unauthorized access, or disrupt the service.
- Collect or transfer information without appropriate authority.
- Send spam, impersonation, misleading communications, or prohibited content.
- Monitor employees, record calls, or process sensitive information without a lawful basis and required notice and consent.
6. WhatsApp, SMS, and Messaging
The customer is responsible for obtaining recipients' telephone numbers and required opt-in permission, selecting the correct message category, using approved templates, clearly identifying the sending business and ESLogix's role, and honoring opt-out requests.
The customer may not present ESLogix as if it were the sending client business or present another business without authorization. Where an ESLogix number is used to deliver messages for a customer, the message should make this clear, for example: “Automated message on behalf of [Business Name], delivered through ESLogix.”
Template approval, delivery, quality ratings, limits, enforcement, and pricing are controlled by Meta/WhatsApp or the relevant provider. We do not guarantee template approval or message delivery. We may suspend messaging where we reasonably suspect spam, missing consent, impersonation, policy violations, or harm to account quality.
7. Third-Party Integrations
EscapeApp may integrate with booking calendars, payment providers, invoicing, telephony, recordings, WhatsApp, Meta, Twilio, email, and other services. Integration availability and terms also depend on the third-party provider. The customer is responsible for its third-party accounts, permissions, and charges unless otherwise agreed.
8. Fees and Subscriptions
Prices, modules, billing periods, and cancellation terms will be stated in the quotation or order form. Prices exclude VAT and third-party charges unless stated otherwise. Non-payment may result in module restrictions or account suspension after reasonable notice.
9. Availability, Maintenance, and Changes
We seek to maintain reasonable availability, but the platform may be unavailable for maintenance, updates, security, or provider failures. Continuous availability is not guaranteed unless a written SLA applies. We may update features, interfaces, and integrations while seeking to avoid a material reduction in the purchased service.
10. Support and Backups
Support is provided through the agreed channels and hours. Backups are intended for service continuity and do not replace the customer's retention and export obligations. Customers should export material information where required for their operations and supported by the platform.
11. Intellectual Property
The platform, code, design, documentation, brands, templates, and general developments belong to the Company or its licensors. Custom work does not transfer ownership of underlying code or infrastructure unless expressly agreed in writing.
12. Confidentiality
Each party will protect non-public business, technical, and commercial information received from the other and use it only for the relationship. This does not apply to information lawfully public, lawfully received from a third party, or required to be disclosed by law.
13. Suspension and Termination
An account may be suspended or terminated for non-payment, security risk, unlawful use, messaging-policy violations, or material breach. Upon termination, the customer may request an export subject to the agreement and available platform tools. Information will be deleted or restricted after a reasonable retention period, subject to backups and law.
14. Limitation of Liability
Subject to applicable law, we will not be liable for indirect loss, loss of profit, loss of data, downtime, or third-party claims that are not the direct result of our breach. Our aggregate liability will not exceed the amount paid for EscapeApp during the 12 months preceding the event, except where applicable law does not permit this limitation.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Israel. Courts of competent jurisdiction in Israel's Central District will have jurisdiction, subject to mandatory law.
